The regulation sets out strict rules about how personal data must be collected, used, and protected. It gives individuals the right to know what personal data is being collected about them, the right to have that data erased, and the right to object to its use.

The regulation applies to any company that processes the data of individuals in the EU, regardless of whether the company is based inside or outside the EU.

What is GDPR ?


The question of how to validly obtain consent under the GDPR generates a lot of discussions, yet it is often a simple problem to deal with. There are however important considerations that need to be assessed! First: **do you really need consent ?** This is an essential first step as consent is one of the six legal basis and it's not necessarily the one required in all cases (sometimes it needs to be avoided as it can be a GDPR violation to use consent when other legal basis are required). This verification is an essential starting point (I). Once we are sure consent is required from a legal perspective then only we can create a process that will capture the consent in regard to the conditions set by the GDPR (II).

<u>**Why a valid consent is essential**</u>

National control authorities do not hesitate to **erase all personal data collected without valid consent**. In multiple cases in 2018, the french CNIL requested the erasure of +14 million - and in another case - over 60 million of prospect's data that companies did not capture with valid consent. The economical damage can be very substantial. On another side, capturing legally valid consent is not a complex task.

## I. - Consent is not generic 

**The First mistake to avoid: organizations don't need consent all the time.** This is the first thing to clearly understand: consent is needed in a few cases only.

The legal obligation GDPR imposes is to have a *legal basis*. There is *six legal basis* that allows organizations to collect and process personal data. Consent is only one of them! So, let's take a look at some real-life examples.

### What is the legal basis ?

In reality, to be able to legally collect data relating to persons, the GDPR imposes one condition: the data controller has to have a legal basis. This means we have to have at least one of the following conditions as described in article 6:

- the subject has **given consent** to the processing of his data 
- the processing is **necessary for the performance of a contract** or to take steps before entering into a contract
- a **legal obligation** imposes the collection of personal data
- protection of **vital interests of the data subject** (someone is in a coma and can not give consent)
- processing is necessary for the performance of a task carried out in the public interest or in the exercise of official authority vested in the controller
- **legitimate interests pursued by the controller** or by a third party, except where such interests are overridden by the interests or fundamental rights and freedoms of the data subject which require protection of personal data


### How to determine if the legal basis can be consent?

In practice, the need to request consent can be determined by eliminating other legal bases and as follows:

 does the law require you to collect personal data (e.g. in HR matters, like obligations existing related to retirement, in commercial matters for invoicing)? If so, then the legal basis is the legal obligation, and there is no need to ask for consent ;
- is the data collected from the perspective of a contractual relationship - for example, an e-commerce website? In this case, the legal basis is the execution of pre-contractual measures or the execution of a contract. Be careful, however, because only the data necessary for this contract can then legally be collected! For example, the subscription of a person to a newsletter following purchase will not enter the data needed for the contractual relationship, and therefore will be subject to consent ;
- are we in the two other specific cases of public interest / official authority vested in the controller or where vital interests of a data subject need to be protected (ex: a person arriving in a coma in a hospital in need of a transplant)
- Having evacuated most of the legal basis, the last question we can ask ourselves is: **can the person enter and exit the processing of his personal data at will**? If yes, we are in a typical case of consent. Otherwise, the legal basis of the legitimate interests of the data processor might apply.

Consent is frequently used in marketing - for example, to subscribe to a newsletter, where a person can start and stop the processing of his data at will (eg. the unsubscribe link).



## II. - You legally need consent? Here's how to get one!

If you are in a situation where you need consent, congratulations because it's quite an easy task to get one! Let's clarify one element first **a checkbox is not needed for consent**. It can be useful if an organization wants to ensure that the person stopped and thought about what he or she agreed on, and expressed clearly agreement. But it's not necessary. In reality, we need two essential elements. Let's look at the legal definition, given by article 4.

> ‘consent’ of the data subject means any freely given, specific, informed and unambiguous indication of the data subject's wishes by which he or she, by a statement or by a clear affirmative action, signifies agreement to the processing of personal data relating to him or her

So to acquire consent, two elements must be there: a positive act by the person, and the person must be informed of what will be done with their data.

### First condition: you need a positive action from the person herself

For consent to be validly collected, a positive act by the person is first required. In clear terms, it means **the person herself needs to do an action to manifest he/she agrees** to the processing of his/hers personal data. 

<u>**Here are examples of valid actions**</u>

- a person clicks on a button
- a person checks a check box
- a person signs a contract
- a person says "yes I agree", or "agreed"

<u>**Here are examples of invalid actions**</u>
- someone else presses a button
- a checkbox is pre-checked
- the person did not add her email herself in a form
- the person stayed silent

In fact, this is a very old legal problem: can silence equals acceptance? In clear terms the question is, can a person be legally obliged to do something in the case she stayed silent? The GDPR answer is absolutely not (it would open to significant abuses otherwise)!

For consent to be valid, **the person must therefore perform a positive act themselves** - such as entering their personal data themselves in a collection form or clicking a button.

<u>**One action is enough**</u>

However, the GDPR does not necessarily require a set of multiple actions, like for example checking a checkbox AND then clicking on a button. A checkbox can be the manifestation of a positive act, **but it's not mandatory** and there are plenty of ways to get the user to make an action other than filling a checkbox. For example, a person who adds his email address himself in a form will perform a positive act, sufficient to meet the requirement of the GDPR.

What is important is that the action comes from the person himself. For instance, it would be unlawful to collect emails on forums and send commercial advertisements (no clear affirmative action from the person to agree to such processing).

### Second condition: the person must be informed

To get a valid consent, the GDPR has added other legal conditions that we can summarize as follows: the person whose data is processed must be clearly informed of what will be done with their data.

This is essential, otherwise, how could he/she consent to anything? From a legal point of view, the GDPR imposes several additional conditions, to ensure consent given is well informed:

- the data subject must express a **manifestation of free will, uncoerced and uninfluenced** (e.g. a person who is forced to give his consent does not consent validly; we typically find this type of situation in matters of labor law in which the employer can impose the processing of personal data - in such cases, consent cannot be used as a legal basis. It is however possible to ask for consent in matters of employment law, but it must be ensured that the choice of the person is truly free). Beware, therefore, of the balance of power that can block the acquisition of consent
- the **consent must be specific**: the data subject must consent to something specific, such as receiving a newsletter. It's not possible to ask to consent to "any processing of personal data" for example.
- the consent must be informed: in general, the data controller has to clearly detail on the collection form what will be done with the personal data
- consent must be **unequivocal**, the data controller must not seek to mislead the person for example as to the reality of the processing carried out on this data, and inform him clearly of what is done with his data

The GDPR introduced an interesting new concept to ensure the protection of personal data : the notion of *"privacy by design"*. In fact, to be completely exact, the GDPR distinguishes two ideas : the idea of ​*privacy by design* and the idea of *​privacy by default*. These concepts originally came from the Commissioner of the Canadian Agency for the protection of personal data (Dr. Anne Cavoukian) who developed a series of principles in 2010 to take privacy into account straight from the design of processing systems.

The GDPR welcomed this idea but from a rather specific angle. Therefore it's necessary to understand these concepts(1) before clearly looking at their impmentation in the GDPR that really differs (2). Finally we will look implementation in practice (3).

## I. - What is privacy by default and privacy by design ?

The principle is quite simple : <u>privacy by design</u> is the idea that the **protection of privacy must be taken into account at the very moment of designing an IT system**. For Apple for example, it's the idea that the company need to propose an option to encrypt hard drives to it's users. So, in the event of loss or theft, encryption will keep personal data confidential.

This concept differs from <u>privacy by default</u>, which is the idea that - when protection measures are set, they must be activated by default. In the case of Apple, it means that in the settings, the checkbox "encrypt the data on my hard drive" should be checked by default - as soon as the laptop is delivered to the user, in order to avoid any additional effort which might not systematically be carried out.

<u>**The details of the Canadian proposal and the 7 principles**</u>

Let's take a look at the [Canadian proposal](https://www.ipc.on.ca/wp-content/uploads/resources/7foundationalprinciples.pdf) of 2010 and the principles of data protection by design and default originally set : 

1. "Proactive not reactive—preventative not remedial. Anticipate, identify, and prevent invasive events before they happen; this means taking action before the fact, not afterward."
2. "Lead with privacy as the default setting - Ensure personal data is automatically protected in all IT systems or business practices, with no added action required by any individual."
3. "Embed privacy into design - Privacy measures should not be add-ons, but fully integrated components of the system."
4. "Retain full functionality (positive-sum, not zero-sum) - Privacy by Design employs a “win-win” approach to all legitimate system design goals; that is, both privacy and security are important, and no unnecessary trade- offs need to be made to achieve both."
5. "Ensure end-to-end security - Data lifecycle security means all data should be securely retained as needed and destroyed when no longer needed."
6. "Maintain visibility and transparency—keep it open - Ensure stakeholders that business practices and technologies are operating according to objectives and subject to independent verification."
7. "Respect user privacy—keep it user-centric - Keep things user-centric; individual privacy interests must be supported by strong privacy defaults, appropriate notice, and user-friendly options."

In summary, here are the rules to take into account when designing an information system :

1. Anticipate privacy risks 
2. Enable all privacy-protecting options by default
3. Plan for privacy as a central function 
4. Do not limit system functionality in return for privacy protection
5. Ensure end-to-end IT security
6. Maintain the transparency of the processing carried out by the IS
7. Respect the privacy of users and provide this as an additional benefit offered to users

However the GDPR took a completly different direction for implementation of these ideas.

### II. - What are the obligations imposed by Privacy By Design in the GDPR?

Unfortunately, as good as these ideas were, the GDPR took a completly different direction for their implementation - despite the title of art. 25 was kept the same: *Data protection by design and by default*. 

Let's look at the detail of article 25 :

> 1.Taking into account the state of the art, the cost of implementation and the nature, scope, context and purposes of processing as well as the risks of varying likelihood and severity for rights and freedoms of natural persons posed by the processing, *the controller shall*, both at the time of the determination of the means for processing and at the time of the processing itself, *implement appropriate technical and organisational measures*, such as pseudonymisation, which are designed to implement data-protection principles, such as data minimisation, in an effective manner and to integrate the necessary safeguards into the processing *in order to meet the requirements of this Regulation* and protect the rights of data subjects.<br />
> 2.The controller shall implement appropriate technical and organisational measures for ensuring that, by default, only personal data which are necessary for each specific purpose of the processing are processed. That obligation applies to the amount of personal data collected, the extent of their processing, the period of their storage and their accessibility. In particular, such measures shall ensure that by default personal data are not made accessible without the individual's intervention to an indefinite number of natural persons.

Upon reading article 25.1, we can legitimately wonder what it really brings in terms of legal obligations :

- if we summarize main obligation laid down by art. 25.1 we can establish that _“the controller implements (…) measures (…) in order to meet the requirements of this regulation”_. To sum up: the law requires the data controller to comply with the law. It doesn't add very much.
- Article 25.2 does not really do any better, as it indicates that the data controller ensures to collect the minimum amount of personal data. This might seem like a new rule of law, but it's not. It's a reminder of the principles set by article 5.1, which already imposes the controller to collect the minimum amount of data.

It is common, when faced with such a problem, to analyze the recitals of the text in order to determine what the intention of the legislator was. Recital 78 of the GDPR adds a bit more details to the article 25 :

> The protection of the rights and freedoms of natural persons with regard to the processing of personal data require that appropriate technical and organisational measures be taken to ensure that the requirements of this Regulation are met. In order to be able to demonstrate compliance with this Regulation, the controller should adopt internal policies and implement measures which meet in particular the principles of data protection by design and data protection by default. Such measures could consist, inter alia, of minimising the processing of personal data, pseudonymising personal data as soon as possible, transparency with regard to the functions and processing of personal data, enabling the data subject to monitor the data processing, enabling the controller to create and improve security features. When developing, designing, selecting and using applications, services and products that are based on the processing of personal data or process personal data to fulfil their task, producers of the products, services and applications should be encouraged to take into account the right to data protection when developing and designing such products, services and applications and, with due regard to the state of the art, to make sure that controllers and processors are able to fulfil their data protection obligations. The principles of data protection by design and by default should also be taken into consideration in the context of public tenders.

These provisions in mind, it is now difficult to find real new obligations that don't already exist within the GDPR : 
- principle of minimization (already set by art. 5) 
- principle of minimization over time (again set by art. 5)
- principle of data security (set by art. 5 and mostly art. 32)
- respect for the rights of individuals (art. 12 et seq.) etc.

The conclusion we could reach here is that we are confronted with a legislative bug, as article 25 just imposes obligations that were already set by other provisions. We could argue that these obligations make a specific distinction about the moment of implementation (when the IT systems are desgined). But the scope of the general obligations already apply to that :  *Ubi lex non distinguit, nec nos distinguere debemus*

In realty, there's a specific category of persons that should have been targetted by the principles Privacy By Design: software editors. This is an real missing actor in the GDPR as if they do not process personal data, they have no obligation whatsoever in regard to the design of their systems. In reality, that's what the GDPR tried to aim at. GDPR targets Controllers, Processors, joint controllers, but never specifically software editors, or producers of IT equipements and it's a missing category, to which the principles set out in Article 25 should really be applied to. GDPR choose not to target these intermediaries who provide the tools to operate the data processing. As a result, the obligations set by article 25 are a bit of a miss. It is likely that the next revision of the regulations - probably around 2035-2040 - will address that issue.

In the meantime, we must do our best to try to give meaning to the intention of the legislator.

### III. - Operational actions that can be taken to implement privacy by default and privacy by design

Fortunately, even if the article 25 lacks structure, it's possible to build a clear step by step processes to implement the principles of privacy by design : 

For example let's take the one requirement : transparency. This can be translated into a operational process:

- Clarity – Information delivered to the user shall be in clear and plain language, concise and intelligible 
- Semantics – Communication should have a clear meaning to the audience in question (ex : children)
- Accessibility - Information shall be easily accessible for the data subject (materially, user should not have to do efforts to access the inforamtion about the processing activity)
- Contextual – Information should be provided at the relevant time and in the appropriate form
- Relevance – Information should be relevant and applicable to the specific data subject
- Universal design – Information shall be accessible to all data subjects, include use of machine readable languages to facilitate and automate readability and clarity
- Comprehensible – Data subjects should have a fair understanding of what they can expect with regards to the processing of their personal data, particularly when the data subjects are children or other vulnerable groups
- Multi-channel – Information should be provided in different channels and media, not only the textual, to increase the probability for the information to effectively reach the data subject
- Layered – The information should be layered in a manner that resolves the tension between completeness and understanding, while accounting for data subjects’ reasonable expectations.

Implementing Privacy By Design (GDPR)


Beware not to confuse the DPO the **"Data Protection Officer"** (GDPR) and the **"Data Privacy Officer"** (not a GDPR concept)! And the reason is that the GDPR has a very specific view of the DPO : **the data Protection officier is NOT in charge of ensuring compliance with the GDPR**. That's the role of the Controller, not the DPO! Let's clarify this important distinction, often misunderstood by businesses who designate a DPO and discover after that the need additionnal staff to ensure compliance.

## I. - The DPO is not responsible for compliance

Within the GDPR, the Data Protection Officer has a very specific function, which is to **act independently from the Controller and ensure the GDPR is correctly implemented**. The DPO belongs in a way to the control departement. He's here to ensure the work is done properly, he's not here to do the work in the first place. A simple way to view the DPO is to see him as an employee of a data protection authority, but paid by the Controller of course.  

<u>**Why the DPO is fundamentaly independant**</u>

To understand why the DPO was created, we have to come back to the EU directive 95/46 (the directive that basically created data protection rules in Europe in 1995, before the GDPR was adopted as a regulation). This directive set the following structure : 

- before carrying out any data processing operation an organization had to inform the supervisory authority 
- with two exceptions to that rule : 
 - for certain types of processing activities that were unlikely to "affect adversely the rights and freedoms of data subjects" (no risks), no information was needed ;
 - or, in the case where the Controller had a "Data Protection Official" (at the time), who *ensured independently* the compliance of the processing activities to the law, no formality was needed either.

And this is a very important paradigm because the role of the DPO in the GDPR, inherits from this. Structurally, his duties are to ensure *independently* that the regulation is applied in the organization, and causes no substantial risks to data subjects. The DPO is here to review the work, not to do the work in the first place! 

This structure was established at a time  when mostly big businesses were conducting data processing activities (in 1995...): banks, insurances, hospitals, etc. And the legislator assumed these businesses had :
- an IT team to handle the processing activities
- a legal teams to handle the compliance 
- and therefore could easily appoint an independent official within the structure that could verify independently that everything was done according to the legislative plan

There are a lot of consequences of this position : 
1. The DPO is always independent from the Controller: he can not be sanctionned by the Controller for doing his work. He can not receive instructions from the Controller either. The DPO has to be properly informed of all processing operations (as well as  have all qualifications necessary to handle compliance work). 
2. The DPO can not be liable for the Controller's non-compliances: it is the Controller who assumes the compliance and all legal risks of his operations. The DPO is there only to verify that the work is done properly and offer a review of where the Controller is in terms of data privacy.


## II. When do organizations really need a DPO?

There are 3 cases in which the appointment of a DPO is mandatory:

1. when the controller is a public authority or a public body, with the exception of courts acting in the exercise of their judicial function
2. when the organization's core activities require regular and systematic tracking of people on a large scale
3. when the activities of the organization consist of large-scale processing of health data, for example (more generally Article 9 or 10 data)

**In all other cases, the appointment of a DPO is optional**. However, it's practically always necessary to have a person in charge of the compliance inside the organization.


### A. - Who can be apointed as DPO?

Anyone who at least has taken a [two days training on GDPR compliance](https://www.legiscope.com). The training of the DPO is an obligation to be able to perform these functions.

### B. - The Tasks of the DPO

The data protection officer shall have at least the following tasks:
1. *Inform and advise* the controller or processor and the employees who carry out the processing on their obligations under this Regulation and other provisions of Union or national law. Member States on data protection;
2. *Monitoring compliance with the GDPR, including with regard to the distribution of responsibilities, awareness and training of staff involved in processing operations, and audits
3. *Provide advice* on data protection impact assessment and verify its execution under Article 35
4. *Cooperate with the supervisory authority*
5. *Act as a contact point* for the supervisory authority on matters relating to the processing, including the prior consultation referred to in Article 36, and carry out consultations, where appropriate, on any other matter.

In general, the DPO also assists in the creation and updating of the register of processing activities.The DPO has to perform his tasks with due regard to the risk associated with processing operations.

### C. - Position of the DPO

The Controller has a certain number of duties regarding the DPO, he has to :

- ensure the DPO is involved in all issues which relate to the protection of personal data ;
- support the DPO in performing his tasks, by providing all necessary resources to carry out his mission as well as all access to personal data and processing operations, and tools to maintain his or her expert knowledge.

The DPO *does not receive any instructions regarding the exercise of those tasks*. He or she shall not be dismissed or penalized by the controller or the processor for performing his tasks. The data protection officer shall directly report to the highest management level of the controller or the processor.

Data subjects may contact the data protection officer about all issues related to the processing of their data and to the exercise of their rights under this Regulation.

The DPO is bound by secrecy or confidentiality concerning the performance of his or her tasks. He may fulfill other tasks and duties however, the controller has to ensure that any such tasks and duties do not result in a conflict of interests.

Role and missions of the Data Privacy Officer (GDPR)



The notion of personal data is without question the most important component of the GDPR, because **it defines if GDPR applies or not**. If an organization is processing personal data it is mandatory to ensure compliance with all provisions of the GDPR (99 articles - 100 pages). However, none of these obligations will apply if no personal data is involved. Let's illustrate that by a diagram :

So understanding what is personal data has real important consequences. Let's dive into the notion.

## I. - The notion of personal data and first examples

The simplest way to understand personal data is : 

> Any data that allows to identify directly or indirectly a natual person

It's a simplified version of the legal definition given by article 4, but it has the benefit of being extremely clear.

Here are some practical examples of personal data : 
- A first name combined with a last name 
- A social security number
- An IP address - as long as there's a natural person behind it (a phone, a computer, but not the IP address of a printer)
- A photo of a person
- The recording of a person's voice
- Licence plates
- Someone's CV
- A person's LinkedIn profile

<u>**Personal data is not private data**</u>

Personal data is frequently confused with private data - as taken in the sense of "my personal diary" or as data that is intimate to a person. The legal definition is much broader: any data that allows the identification of a person enters the GDPR's scope.

In real life, personal data are always integrated into personal data processing. For example, a company collects emails for its newsletter. Once we've identified that an organization is processing personal data, it's important to be able to record the fact that there is personal data processing, as this is required by law. Let's take a few examples of personal data processing.

## II. - Examples of personal data processing

Here are some classical examples of personal data processing for which organizations will need to ensure compliance:

- HR 
    - recruitment (CV, LinkedIn...)
    - employee payment processes
- Marketing 
    - a newsletter
    - a blog 
- Sales: CRM
- IT 
    - logs
    - company's email & messaging
    - backups
- Operations 
    - company's phones
    - renting offices...

Let's now look a bit deeper into the legal definition.

## III. - The legal definition of personal data 

So far, we've introduced a simple definition that is great for a first understanding of the concept but that is also imperfect. So let's take look at its exact definition.

The notion of personal data has been defined in [article 4](http://eur-lex.europa.eu/legal-content/EN/TXT/HTML/?uri=CELEX:32016R0679&from=EN): 

>For the purposes of this Regulation:
>(1) ‘personal data’ means any information relating to an identified or identifiable natural person (‘data subject’); an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person;

Recital 26 also has interesting developments in regard to anonymisation of personal data : 
>The principles of data protection should apply to any information concerning an identified or identifiable natural person. Personal data which have undergone pseudonymisation, which could be attributed to a natural person by the use of additional information should be considered to be information on an identifiable natural person. To determine whether a natural person is identifiable, account should be taken of all the means reasonably likely to be used, such as singling out, either by the controller or by another person to identify the natural person directly or indirectly. To ascertain whether means are reasonably likely to be used to identify the natural person, account should be taken of all objective factors, such as the costs of and the amount of time required for identification, taking into consideration the available technology at the time of the processing and technological developments. The principles of data protection should therefore not apply to anonymous information, namely information which does not relate to an identified or identifiable natural person or to personal data rendered anonymous in such a manner that the data subject is not or no longer identifiable. This Regulation does not therefore concern the processing of such anonymous information, including for statistical or research purposes.

Recital 30 also has interesting developments : 
>Natural persons may be associated with online identifiers provided by their devices, applications, tools and protocols, such as internet protocol addresses, cookie identifiers or other identifiers such as radio frequency identification tags. This may leave traces which, in particular when combined with unique identifiers and other information received by the servers, may be used to create profiles of the natural persons and identify them.


## 4. So you are processing personal data, now what?

As we said, the main consequence of personal data processing is that GDPR will apply. This also means that each data processing will have to be integrated into a compliance process, as well as recorded into the records of processing activities as required by article 30.
